The website is operated by Perfentrix Solutions Private Limited (“Perfentrix”, “we”, “us”, or “our”). Perfentrix is an India-based Marketing & Technology firm serving businesses and professional users in India and international markets.
These website Terms are not intended to replace the commercial terms governing professional services. Where you engage Perfentrix for services, the applicable proposal, quotation, Statement of Work (“SOW”), Master Services Agreement (“MSA”), service agreement, Data Processing Agreement (“DPA”) or other written agreement will govern the professional relationship to the extent stated in that document.

2. Acceptance of Terms
By accessing or using the website, you confirm that you have the legal capacity required by applicable law and agree to these Terms. If you access the website on behalf of an organisation, you represent that you are authorised to act for that organisation.

9. Client Responsibilities
Where you engage Perfentrix, you agree to provide reasonable cooperation and information required for delivery, including where applicable:
- accurate and timely instructions and information;
- required approvals and feedback;
- access to websites, advertising accounts, analytics, CRM systems or other systems;
- content, trademarks, images, software, data and other materials;
- evidence or substantiation for advertising or marketing claims where appropriate; and
- permissions and legal rights required for Perfentrix to use client-provided materials and data.
Clients remain responsible for the legality, accuracy and appropriateness of their products, services, claims, offers and materials, except to the extent expressly agreed otherwise.
10. Marketing Results and Performance
Marketing and technology outcomes depend on factors outside Perfentrix's control. Unless expressly guaranteed in a signed written agreement, Perfentrix does not guarantee:
- specific search rankings or organic traffic;
- specific leads, sales, revenue or conversions;
- specific advertising performance or ROI;
- specific social-media reach or engagement;
- specific business growth;
- specific AI or technology outcomes; or
- any particular commercial result.
Results may be affected by budgets, competition, market conditions, customer behaviour, platform algorithms, search-engine changes, technical conditions, client decisions, regulatory restrictions and other external factors.
11. Third-Party Platforms
Perfentrix may rely on third-party platforms, APIs, search engines, advertising networks, social-media platforms, hosting providers, analytics systems, CRM systems, software and other technology.
Perfentrix does not control third-party providers. They may change pricing, policies, functionality, APIs, algorithms, availability or access, or experience outages and restrictions. Perfentrix is not responsible for losses caused solely by such third-party actions, except where liability cannot legally be excluded or the applicable client agreement provides otherwise.
12. Advertising Platform Policies
Where Perfentrix manages paid advertising or platform accounts, campaigns remain subject to the policies, review processes and technical systems of the relevant platform. Ads may be rejected, restricted or suspended, and accounts may be limited or terminated by the platform.
Perfentrix will use reasonable professional efforts within the agreed scope, but platform decisions or changes outside Perfentrix's control do not by themselves constitute a breach.
13. Intellectual Property
Unless otherwise stated, intellectual property appearing on the Perfentrix website is owned by, licensed to or otherwise lawfully used by Perfentrix, including:
- Perfentrix name and logo;
- brand identity and visual elements;
- website design, text, graphics, images and videos;
- software, source code and technical components;
- templates, frameworks and methodologies;
- reports, resources and marketing materials;
- case studies and publications; and
- other proprietary content.
You may access website content for legitimate personal or internal business purposes. Without prior written permission, you must not copy, reproduce, modify, republish, distribute, sell, license, create derivative works from or commercially exploit proprietary Perfentrix content.
14. Client Materials
Where a client supplies materials to Perfentrix, the client retains ownership unless otherwise agreed. The client grants Perfentrix a limited right to access, reproduce, adapt, transmit, publish or otherwise use those materials only as reasonably necessary to perform the agreed services.
The client represents that it has the rights, permissions and lawful authority necessary for Perfentrix to use those materials for the agreed purpose.
15. Deliverables and Pre-existing Intellectual Property
Ownership and licensing of client-specific deliverables will be governed by the applicable written agreement. Unless expressly transferred, Perfentrix retains pre-existing and independently developed intellectual property, including reusable code, frameworks, methodologies, templates, tools, processes, know-how and general skills.
Third-party software, APIs, libraries, stock assets, fonts, platforms and other components remain subject to their own licences and terms.
16. AI and Automated Technologies
Perfentrix may use AI and automated technologies in research, analysis, content, development, marketing, reporting, optimisation or other service activities. AI outputs may contain errors and may require human review.
- specific client restrictions may be stated in the MSA, SOW or DPA;
- confidential or personal information should not be submitted to AI tools unless authorised and appropriately protected;
- ownership and permitted use of AI-assisted deliverables will be determined by applicable law, third-party terms and the client agreement; and
- Perfentrix will use reasonable safeguards appropriate to the nature of the information and service.
17. Confidential Information
Information submitted through a publicly accessible website form should not be assumed confidential unless expressly agreed. Confidential or commercially sensitive information should be shared under an appropriate NDA, MSA, SOW or other confidentiality arrangement.
Where a separate confidentiality agreement exists, its terms will govern information covered by that agreement.
18. Case Studies, Testimonials and Client Logos
Perfentrix may publish case studies, testimonials, project descriptions, client feedback, performance information or client logos where it has appropriate permission, contractual authority or another lawful basis.
Results shown in case studies are examples and do not guarantee that another client will achieve identical or similar results.
19. Website Availability
Perfentrix aims to maintain a reliable and accessible website but does not guarantee continuous availability, uninterrupted operation, error-free performance or compatibility with every device or browser.
The website may be unavailable because of maintenance, upgrades, security issues, hosting failures, network interruptions, technical failures or circumstances beyond reasonable control.
20. Security
You must not compromise, interfere with or attempt to circumvent the security of the website or associated systems. Prohibited activities include unauthorised access, credential theft, malware, denial-of-service attacks, unauthorised scanning, security testing without permission and interference with website operations.

Where Perfentrix processes personal information on behalf of a client, the applicable MSA, SOW and DPA or equivalent agreement will govern that processing. Where there is a conflict, the specific data-processing terms will prevail to the extent required by applicable law or expressly agreed.
22. Fees, Taxes and Commercial Terms
Fees, payment schedules, taxes, expenses, refunds, credits, invoicing, termination charges and other commercial terms relating to professional services are governed by the applicable proposal, quotation, order form, SOW, MSA or service agreement.
23. Disclaimers
To the maximum extent permitted by applicable law, the website and its content are provided on an “as available” and “as is” basis. Perfentrix does not guarantee continuous availability, completeness, currency, error-free operation, compatibility with every environment or freedom from harmful components.
Nothing in these Terms excludes or limits any right, warranty or protection that cannot legally be excluded or limited.
24. Limitation of Liability
To the maximum extent permitted by applicable law, Perfentrix will not be liable for indirect, incidental, special, consequential or punitive losses arising from website use, including loss of profits, revenue, business opportunities, data, goodwill, expected savings or business interruption.
Nothing excludes liability that cannot legally be excluded or limited. Liability for professional services will be governed by the applicable service agreement, which may contain a negotiated monetary liability cap and specific exclusions.
25. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Perfentrix, its officers, employees, contractors, representatives and affiliates from claims, losses, liabilities, damages, costs and expenses arising from your unlawful website use, violation of these Terms, infringement of third-party rights, misuse of the website, unlawful materials submitted by you or violation of applicable law.
Professional-services agreements may contain separate, reciprocal or more specific indemnification obligations.
26. International Users and Local Law
Perfentrix operates from India and serves international markets. These Terms are intended to apply globally, subject to mandatory laws applicable to the user or transaction.
Nothing in these Terms is intended to remove consumer, privacy, data-protection or other mandatory rights that cannot lawfully be excluded in the jurisdiction concerned.

28. Changes to These Terms
Perfentrix may update these Terms to reflect changes in services, technology, business practices or law. The latest version will be published with a revised Last Updated date. Continued use after publication constitutes acceptance to the extent permitted by applicable law.
29. Governing Law and Jurisdiction
These Terms are governed by and interpreted in accordance with the laws of India, subject to mandatory laws that may apply to users in other jurisdictions.
Subject to applicable law, courts located in Chennai, Tamil Nadu, India will have jurisdiction over disputes arising from or relating to these website Terms.
For professional services provided to international clients, the applicable MSA, SOW or service agreement may establish different governing law, jurisdiction, arbitration or dispute-resolution provisions.
30. Severability
If any provision is invalid, unlawful or unenforceable, it will be modified or removed to the minimum extent necessary, and the remaining provisions will continue in effect.
31. No Waiver
Failure by Perfentrix to enforce any provision does not constitute a waiver of its right to enforce that provision later.
32. Entire Agreement and Order of Precedence
These Terms, the Privacy Policy and other website policies govern website use. For professional services, the applicable MSA, SOW, DPA, order form or other written agreement governs the professional relationship.
Where a specific written professional-services agreement conflicts with these website Terms, the specific agreement will govern to the extent of the conflict.
